Contributor Agreement

This Contributor Agreement ("Agreement") governs your relationship with Scout AI ("Scout") when you submit media or related information to the platform. By accepting it during onboarding or by uploading content, you agree to the terms below.

1. Ownership retained

You retain copyright in the media you submit. Nothing in this Agreement transfers ownership of your underlying work to Scout — this Agreement grants Scout a license, not an assignment, of your copyright.

2. License granted (broad commercial use)

For all content you submit — including videos, photographs, audio, statistics, scouting information, performance data, metadata, and any related information — you grant Scout and its affiliates, successors, licensees, customers, and authorized third parties a perpetual, worldwide, irrevocable, transferable, sublicensable, and royalty-free license to collect, store, analyze, reproduce, modify, publish, distribute, transfer, sublicense, license, sell, and otherwise commercially exploit such content and related information.

This license expressly covers use for artificial intelligence, machine learning, analytics, research, model training, computer vision, advertising, and the creation, licensing, and sale of datasets and derivative products. Your content and related information may be shared with or sold to third parties.

This is a license, not a transfer of ownership; however, the license is intentionally broad and Scout may exercise rights typically associated with ownership for the licensed purposes described above.

You are not entitled to royalties, residuals, or additional compensation beyond the payouts described in Section 6, unless otherwise agreed in writing.

3. Originality & warranty

You represent and warrant that you personally captured the submitted media, that you hold all rights necessary to grant the license above, and that you have obtained any required releases — including from identifiable individuals depicted in the content.

4. Identity verification (KYC)

Before you can submit content, Scout requires a one-time identity verification check via our verification partner. This protects the dataset, our buyers, and other contributors from fraud. Your identity documents are handled by the verification provider — Scout only stores the resulting status.

5. Anti-fraud

Stolen, scraped, AI-generated, watermarked third-party, or duplicate content is strictly prohibited. Violations may result in immediate suspension, forfeiture of pending payouts, and permanent removal from the platform.

6. Payouts

Approved submissions trigger automatic SOL payouts on the Solana network to the wallet address you provide at upload time. Only approved, original content is paid. Payout amounts are determined by content type and category and are visible before you submit. These payouts are the complete consideration for the rights granted in Section 2.

7. Moderation

Scout may decline submissions for any reason, including quality, legality, dataset fit, suspected duplication, or failure to meet originality standards. Moderation decisions are final.

8. Termination & survival

You may stop uploading at any time. Scout may suspend or terminate your account for breach of this Agreement. The rights and licenses you grant under Section 2 — including licensing, sale, sublicensing, transfer, and commercial exploitation of previously submitted content — survive termination of this Agreement and deletion of your account.

9. Changes to this Agreement

We may update this Agreement. Material changes will require re-acceptance before you can submit new content. The version and last-updated date are shown at the top of this page.

11. Age & broad commercial license representation

By creating an account and submitting any videos, photographs, audio, statistics, scouting information, performance data, or other content to Scout AI, I represent and warrant that I am at least eighteen (18) years of age and have the full legal authority to enter into this agreement and grant the rights described herein.

I acknowledge and agree that Scout AI and its affiliates, successors, licensees, customers, and authorized third parties may collect, store, analyze, reproduce, modify, publish, distribute, transfer, sublicense, license, sell, and otherwise commercially exploit such content and related information on a perpetual, worldwide, irrevocable, transferable, sublicensable, and royalty-free basis.

I expressly authorize the use of such content and information for artificial intelligence, machine learning, analytics, research, model training, computer vision, advertising, and the creation, licensing, and sale of datasets and derivative products.

I understand and agree that my content and related information may be shared with or sold to third parties and that I am not entitled to royalties, residuals, or additional compensation unless otherwise agreed in writing.

I represent that I own or have all rights necessary to submit such content and release Scout AI and its affiliates, partners, customers, successors, and assigns from claims arising from the lawful use, licensing, transfer, sale, or commercialization of such content, except where prohibited by applicable law.

By checking the acceptance box during onboarding, I acknowledge that I have read and agree to the Terms of Service and Privacy Policy and understand that these rights survive account deletion or termination.
